These Terms of Service (“Terms”) govern your access to and use of modabridge.com (the “Website”), operated by Moda Bridge (“ModaBridge,” “we,” “us,” or “our”).

By accessing or using this Website, submitting an inquiry, requesting information, or otherwise communicating with us through the Website, you agree to these Terms. If you do not agree with these Terms, please do not use the Website.

1. About ModaBridge

ModaBridge provides business-to-business support for apparel product development, sourcing, manufacturing coordination, and related services.

Our Website is intended primarily for brands, businesses, buyers, sourcing professionals, and other commercial customers seeking information about apparel development and production opportunities.

Unless expressly stated otherwise, the Website is not intended to operate as a consumer retail store, and products displayed on the Website are not necessarily available for immediate purchase.

2. Product References and Website Content

Products, styles, photographs, materials, specifications, case studies, production examples, and other information displayed on the Website may be provided for reference, discussion, or illustration purposes.

3. Inquiries and Product Briefs

You may submit a product brief, sourcing request, project inquiry, contact form, or other information through the Website.

Submitting an inquiry does not:

  • create a binding contract;
  • constitute acceptance of an order;
  • reserve production capacity;
  • guarantee availability;
  • establish a final price;
  • guarantee a particular minimum order quantity or delivery date; or
  • obligate ModaBridge or any manufacturing partner to accept the project.

A project becomes binding only when the relevant commercial terms have been expressly agreed between the parties. Such terms may include a quotation, purchase order, contract, specification sheet, sample approval, deposit or payment arrangement, or other written project documentation.

Where project-specific written terms conflict with these Website Terms, the project-specific written terms will govern that project.

4. Information You Provide

You are responsible for ensuring that information submitted to ModaBridge is accurate and sufficiently complete for us to evaluate your inquiry.

This may include information relating to:

  • product type;
  • reference images;
  • drawings or technical specifications;
  • fabrics and materials;
  • target quantities;
  • target market;
  • sizing;
  • packaging;
  • branding;
  • intended use;
  • delivery destination; and
  • requested production schedule.

Incomplete, inaccurate, or changing information may affect feasibility, pricing, sampling, production schedules, and delivery estimates.

You must not submit materials that you do not have the right to use, disclose, reproduce, or provide for the requested purpose.

5. Quotations, Minimum Quantities and Lead Times

Any quotation, indicative price, minimum quantity, sampling period, production period, shipping estimate, or other commercial information shown or discussed before final project confirmation is subject to review.

Final terms may depend on factors including:

  • product complexity;
  • material availability;
  • fabric or trim minimums;
  • customization requirements;
  • testing or certification requirements;
  • packaging requirements;
  • production capacity;
  • seasonal demand;
  • order quantity;
  • shipping method;
  • destination; and
  • changes requested during development.

Unless expressly agreed in writing, estimated lead times are not guaranteed delivery dates.

6. Samples and Product Development

Product development may involve sampling, revisions, material sourcing, fitting, testing, packaging development, and other project-specific activities.

Sample appearance, construction, color, fit, material performance, and other characteristics may differ from initial references or concepts.

Production should not proceed on the assumption that an early prototype, reference image, or preliminary sample represents the final approved specification.

Where applicable, production requirements should be confirmed through agreed samples, specifications, measurements, materials, artwork, packaging instructions, or other written approvals.

7. Manufacturing and Supply Chain Partners

ModaBridge may work with independent manufacturers, suppliers, testing providers, logistics providers, packaging suppliers, and other third parties in connection with a project.

References on the Website to manufacturing facilities, supplier experience, certifications, production capabilities, or third-party relationships should be understood in the context in which they are presented.

Unless expressly stated otherwise, such third parties are not owned by ModaBridge.

Specific manufacturing arrangements, certifications, capacities, facilities, materials, and compliance requirements should be confirmed for the relevant project before production.

8. Case Studies and Third-Party References

The Website may contain case studies, customer names, supplier information, product examples, brand references, photographs, testimonials, or other materials relating to past or current commercial activity.

ModaBridge is not responsible for independently determining whether every customer-supplied design, reference, mark, or concept infringes third-party rights.

11. Confidential Information

Information submitted through the Website should not automatically be treated as subject to a formal confidentiality obligation unless such an obligation has been separately agreed.

If your project involves confidential designs, unreleased products, commercially sensitive specifications, proprietary technology, or other highly sensitive information, you should notify us before providing that information so that appropriate confidentiality arrangements can be considered.

14. No Guarantee of Commercial Results

ModaBridge may provide product development input, sourcing support, manufacturing coordination, production references, and related business services.

  • product sales;
  • market demand;
  • profitability;
  • commercial success;
  • customer acceptance;
  • exclusivity;
  • intellectual property registration;
  • regulatory approval; or
  • any particular business outcome.

You remain responsible for your own commercial, legal, regulatory, product, marketing, and purchasing decisions.

15. Compliance and Regulatory Requirements

Customers are responsible for identifying the laws, regulations, labeling rules, product standards, testing requirements, import requirements, and market-specific obligations applicable to products they intend to sell or distribute.

If a project requires specific testing, certification, labeling, documentation, restricted-substance controls, or other compliance measures, those requirements should be disclosed and agreed before production.

ModaBridge will not be deemed to guarantee compliance with requirements that were not communicated, agreed, or included within the scope of the project.

16. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Website and its content are provided on an “as is” and “as available” basis.

We do not warrant that Website content is complete, continuously current, error-free, or suitable for every project.

Information displayed on the Website should not replace project-specific technical, legal, regulatory, financial, or professional advice.

Nothing on the Website constitutes a binding manufacturing commitment unless expressly confirmed in separate written project documentation.

17. Limitation of Liability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law, and the remaining provisions will remain in full force and effect.

23. Entire Agreement Regarding Website Use

These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the agreement governing general use of this Website.

They do not replace separately agreed commercial terms relating to a specific sourcing, development, production, manufacturing, or other project.
